• Misusing promotional codes, discounts, or loyalty rewards in a manner inconsistent with their intended use.

Violation of any of the above prohibitions may result in immediate termination of your account, cancellation of pending orders, and may subject you to civil and/or criminal liability under applicable federal and state laws.

5. Ordering, Pricing, and Payment Terms

We reserve the right to refuse or cancel any order at our discretion, including orders that we suspect are fraudulent or placed in violation of these Terms.

Once an order is confirmed, you will receive a confirmation notification via email or the Site. This confirmation constitutes our acceptance of your order. Please review your order carefully before submitting, as changes or cancellations may not always be possible once an order has been accepted and preparation has begun.

5.2 Pricing

All prices listed on the Site are in United States Dollars (USD) and are subject to applicable federal, state, and local sales taxes, service fees, and delivery charges as applicable. Prices are subject to change without prior notice. The price applicable to your order will be the price displayed at the time of checkout.

While we make every effort to ensure that prices displayed on the Site are accurate, errors may occasionally occur. In the event of a pricing error, we reserve the right to cancel the affected order and notify you of the error. You will not be charged for an order we cancel due to a pricing error.

• Reproducing, modifying, distributing, publicly displaying, or creating derivative works from any Content without our express written permission.
• Using any Content for commercial purposes without our prior written authorization.

7. Disclaimers and "As-Is" Basis

Starbird Chicken expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Warranties regarding the accuracy, completeness, reliability, or timeliness of any content, information, or materials on the Site, including menu information, nutritional data, pricing, and availability.
• Warranties that any defects in the Site will be corrected.

We do not warrant that the Site or our services will meet your specific requirements or expectations. You acknowledge that your use of the Site and our services is at your sole risk.

Allergen and Dietary Information Disclaimer: While we make reasonable efforts to provide accurate allergen and nutritional information on the Site, we cannot guarantee that all information is complete, current, or free from error. Our food is prepared in facilities that may handle common allergens including peanuts, tree nuts, wheat, gluten, dairy, eggs, soy, fish, and shellfish. 8. Limitation of Liability

In no event shall the total aggregate liability of Starbird Chicken to you for all claims arising out of or relating to these Terms or your use of the Site and services exceed the greater of: (a) the total amount paid by you to Starbird Chicken in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) One Hundred United States Dollars ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in their entirety. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

The limitations of liability set forth herein are a fundamental element of the basis of the bargain between Starbird Chicken and you, and the Site and services would not be offered without such limitations.

You agree to defend, indemnify, and hold harmless Starbird Chicken and its respective officers, directors, employees, agents, contractors, licensors, affiliates, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which Starbird Chicken's principal place of business is located, without regard to its conflict of law principles.

Subject to the Dispute Resolution section below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States. You hereby irrevocably consent to the personal jurisdiction and venue of such courts and waive any objection to the laying of venue of any such legal action or proceeding in said courts.

These Terms are subject to and shall be interpreted in compliance with applicable federal laws, including the Federal Trade Commission Act (15 U.S.C. § 45 et seq.) governing unfair or deceptive acts or practices in commerce, the Electronic Communications Privacy Act, the Computer Fraud and Abuse Act, and, to the extent applicable, the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA) with respect to California residents.

Starbird Chicken makes no representation that the Site or its content is appropriate or available for use outside of the United States. Access to the Site from territories where its content is illegal or restricted is prohibited.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site (each, a "Dispute") by contacting us informally at [email protected]. We will make good-faith efforts to resolve the Dispute within thirty (30) days of receiving your notice. If we are unable to resolve the Dispute informally within that period, either party may proceed with the formal dispute resolution process described below.

12.2 Binding Arbitration

If informal resolution is unsuccessful, you and Starbird Chicken agree that any Dispute shall be finally and exclusively resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English, in the United States, and the arbitrator's decision shall be final and binding on both parties.

The arbitrator shall have the authority to award any remedy that would be available in a court of law, except that the arbitrator may not award declaratory or injunctive relief benefiting anyone other than the parties to the arbitration. The costs of arbitration shall be governed by the AAA Consumer Arbitration Rules.

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidential information, or other proprietary rights.

13. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Site or maintain an account with us. We reserve the right, in our sole discretion and without notice or liability, to:

• Suspend or terminate your account and access to the Site at any time for any reason, including your breach of these Terms.
• Discontinue, modify, or restrict any portion of the Site or our services at any time.
• Cancel any pending or confirmed orders in cases of suspected fraud, system error, or violation of these Terms.

The invalidity or unenforceability of any provision shall not affect the validity or enforceability of any other provision of these Terms, which shall remain in full force and effect. The remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

The parties agree that, to the extent any provision is found invalid or unenforceable, they will negotiate in good faith to replace it with a provision that achieves the same economic effect and intent as the original provision to the greatest extent possible.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices, policies, or agreements published by Starbird Chicken on the Site, constitute the entire agreement between you and Starbird Chicken with respect to your use of the Site and our services, and supersede all prior and contemporaneous agreements, understandings, negotiations, and representations, whether written or oral, relating to the same subject matter.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. Our failure to exercise or enforce any right or remedy under these Terms shall not constitute a waiver of that right or remedy.

These Terms may not be modified, amended, or supplemented by you without our express prior written consent. Any attempt by you to modify these Terms unilaterally shall be null and void.

17. Force Majeure

Starbird Chicken shall not be liable for any failure or delay in the performance of our obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics or public health emergencies, acts of government, fire, flood, war, civil unrest, terrorism, labor strikes, supply chain disruptions, or failures of third-party infrastructure such as internet services or payment processors.

In the event of a force majeure event, we will make reasonable efforts to notify you and to resume normal operations as soon as practicable. Orders affected by force majeure events may be cancelled, and refunds will be processed in accordance with our standard refund procedures.

18. Electronic Communications

By using the Site and our services, you consent to receive communications from us electronically, including via email, SMS/text messages (where you have opted in), and through notices posted on the Site. You agree that all agreements, notices, disclosures, and other communications provided to you electronically satisfy any legal requirement that such communications be in writing.
